3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information required for services
• Respond to requests for information in a timely manner
• Review and approve deliverables within agreed timeframes
• Make payments according to agreed terms
• Comply with all applicable laws and regulations

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days of issue date
• Late payments may incur additional charges
• Services may be suspended for non-payment
• Refunds are subject to individual service agreements

5. Intellectual Property

All content, designs, and materials created by DigiArce remain the intellectual property of DigiArce until full payment is received. Upon full payment, specified deliverables will be transferred to the client as outlined in the service agreement.

6. Confidentiality

DigiArce agrees to maintain the confidentiality of all client information and will not disclose any confidential information to third parties without prior written consent, except as required by law.

7. Limitation of Liability

DigiArce's liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific service in question. DigiArce shall not be liable for any indirect, incidental, or consequential damages.

8. Termination

Either party may terminate services with 30 days written notice. Upon termination, the client will be responsible for payment of all services rendered up to the termination date.

9. Force Majeure

DigiArce shall not be liable for any failure to perform due to unforeseen circumstances or causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, or internet failures.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the jurisdiction of Indian courts.

11. Changes to Terms

DigiArce reserves the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.
